1. Introduction
These Terms of Service (“Terms”) govern your use of the HioFulfill website and describe the general nature of China-side procurement, warehouse, and international fulfillment services presented on this site.
Detailed commercial engagement — including fees, service scope, and operational rules — is typically set out in a signed Procurement, Warehouse & International Fulfillment Services Agreement (or equivalent commercial terms), system/API confirmations, and fee schedules. If you have a signed agreement, that agreement prevails for your paid services.
2. Service provider
HioFulfill is the product and website surface for technology-driven China fulfillment for overseas B2B customers. Services may be provided or arranged by Tongxiao Technology Limited and/or designated warehouses, logistics providers, carriers, and payment partners (including the HIOBuy fulfillment ecosystem).
3. Nature of the service
Depending on the services you select, we may help you procure products according to your instructions, receive parcels into a China warehouse, perform agreed inspection or value-added services, store/consolidate/pack goods, create international shipments, and synchronize status through APIs and webhooks.
Typical workflow: you submit requirements → procurement (where applicable) → delivery to a designated warehouse → receiving and check-in → agreed QC or value-added services → storage/consolidation/packing → international shipment → handover to a third-party carrier → transit and delivery.
Some steps are performed by us; others by warehouses, carriers, payment providers, or other third parties we designate or engage.
4. Eligibility and accounts
Services are intended for companies and teams with development capability, not individual consumer parcel-forwarding use cases.
You must provide true, accurate, and complete company and contact information. We may request KYC/KYB documents (incorporation certificate, authorized signatory ID, UBO information, trade background, and similar) as required by law, banks, or payment partners.
You are responsible for activity under your authorized accounts and API credentials.
5. Fees and payments
Fees may include product procurement amounts, procurement service fees, warehouse handling, QC, photography/video, packaging, consolidation, storage, returns handling, international transportation, insurance where purchased, and destination taxes/duties where applicable.
Unless fixed in writing, prices may come from commercial terms, a fee schedule, prices shown in the system/API, quotations, service requests, shipments, or invoices you confirm.
By confirming a procurement order, service request, shipment, or other paid request, you accept the price shown or confirmed at that time. Fees for services already performed or costs already incurred are generally non-refundable.
Pay only to officially designated corporate payment accounts. Insufficient funds may result in suspension of procurement, warehouse services, or shipments.
6. Warehouse receiving and inspection
A carrier “delivered” or “signed for” status does not automatically mean warehouse check-in is complete, quantities/SKUs are correct, or goods are free of quality issues.
Unless otherwise agreed, a Basic Receiving Check looks for obvious issues during ordinary receiving. It is not a full quality guarantee and does not include detailed item-by-item inspection, hidden-defect detection, authenticity verification, or professional laboratory testing unless you purchase those services.
Standard QC, Detailed QC, Function Test, photography, and video are value-added services with scopes defined by your service request. Completion of QC status means agreed inspection items were performed — not an absolute product quality warranty.
7. Storage and unclaimed goods
After formal check-in, goods are stored under applicable warehouse rules. A free storage period of sixty (60) calendar days generally applies from formal system check-in, after which overdue storage fees may accrue (for example RMB 5 per item per day under standard warehouse rules, unless commercial terms state otherwise).
Goods remaining unprocessed for a prolonged period (for example more than 180 days) may be treated as unclaimed goods after reasonable notice, and may be discarded, recycled, sold, or otherwise disposed of according to the applicable services agreement.
8. International shipping
Shipping costs shown before final packing may be estimates only and are not a guarantee of the final charge. Final charges are generally based on actual packed weight, dimensions, volumetric/chargeable weight, destination, channel, and carrier surcharges.
Unless we expressly act as the actual carrier, we primarily arrange logistics, shipment creation, coordination, and status sync. Actual carriage is performed by third-party carriers. Displayed transit times are estimates, not guaranteed delivery dates.
After handover to the carrier, loss, damage, delay, or detention is generally handled under carrier/channel/insurance rules. We may assist with tracking and claims but do not guarantee claim approval or full product-value compensation.
9. Customs, duties and compliance
You must provide true product information for customs (description, quantity, value, HS code where applicable). You must not request false declaration, underdeclaration, or evasion of duties or regulations.
Unless a channel is expressly DDP/tax-inclusive or otherwise agreed, destination-country duties, VAT/GST, brokerage, and related charges are generally borne by you or the recipient.
You are responsible for whether products may lawfully be imported, sold, and used in the destination country (including certifications, labeling, and IP authorization). Do not use the service for prohibited, sanctioned, counterfeit, uncontrolled dangerous, or channel-prohibited goods.
10. APIs and electronic records
You may use APIs and systems to process inbound, packages, service requests, QC, shipments, tracking, returns, and related operations. Data you submit must be true, accurate, complete, and timely.
System, API, warehouse, logistics, and payment records may be used as evidence of transactions. Protect your credentials; unauthorized use from poorly safeguarded keys is generally your responsibility.
11. Limitation of liability
Except for fraud, willful misconduct, gross negligence, or liability that cannot legally be limited, we are not liable for expected sales profit, retail markups, lost business opportunity, goodwill loss, or other indirect or consequential losses.
Where applicable commercial terms set compensation caps, liability for a single event or related series of events is generally limited to the procurement settlement amount of the goods actually affected — not your entire inventory or expected retail value. International transport claims follow carrier/insurance rules.
Quality inspection and status labels are service outcomes, not product warranties of merchantability or fitness for a particular purpose.
12. Website content
Website copy, demos, sample API snippets, and calculators are for information. Shipping calculators may show UI-only states until live rates are connected. Do not rely on marketing examples as binding quotes.
13. Governing law
Unless a signed agreement states otherwise, disputes relating to these website Terms are governed by the laws of the Hong Kong Special Administrative Region, and parties should first attempt good-faith consultation.
14. Changes
We may update these Terms by posting a revised version on this page. Material commercial terms for active customers continue to follow the signed agreement and confirmed orders until changed under that agreement.
